HustleGang — Official Host License Offer & Brand Valuation

HustleGang (aka Hustle Gang), owned and controlled by Precious S. Badran, presents the following host license offer covering the HustleGang brand and associated intellectual property (“Licensed Assets”). This document is a binding offer to license the HustleGang brand under the terms below.

Offer Summary

Two alternative license packages are offered. All license packages include rights to use HustleGang branding, registered and common law trademarks, website hosting usage rights for hustlegang.com, and rights to the creative assets and content expressly transferred in writing by Precious S. Badran.

License Options

Option A – Premium Exclusive Host License: $25,000,000 (Twenty-five Million USD) for a fixed term of 3 years. Exclusive in the licensed territories unless otherwise stipulated in a negotiated rider.
Option B – Strategic Host License: $10,000,000 (Ten Million USD) for a fixed term of 5 years. Non-exclusive by default; exclusivity available subject to additional negotiated consideration.

What the License Covers

Use of the HustleGang name, stylized logos and brand marks owned by Precious S. Badran.
Right to host and operate content on http://hustlegang.com/buy-hustle-gang-0r-hustlegang-license/ as an official licensed channel, subject to the Host Technical Appendix.
Commercial exploitation rights as expressly set forth in an executed license agreement and any attached exhibits (merchandising, distribution, streaming, and promotional use).

Excluded Items

Any rights not specifically granted in a signed License Agreement remain the sole property of Precious S. Badran.
Pre-existing third-party rights, samples or works not owned by HustleGang are excluded unless specifically procured and listed in Exhibit A.

The listed amounts are an asking price and may be subject to negotiation following due diligence and verification of rights, assets, and existing encumbrances.

Statement Regarding Past Intellectual Property Theft

This section memorializes claims made by Precious S. Badran regarding the misappropriation of certain intellectual property, which are part of the background and factual record informing the value and enforceability of the Licensed Assets. The licensee acknowledges awareness of those claims and accepts that any final transfer or assignment of rights will include representations and warranties addressing chain of title, indemnities, and remedies anyone person or entity’s using IP Protected brand names or logos and or media ect without a license with incurre $ 10 thosand dollar daily fine from the starting poing of illeagal usages.

Background (summary):
Precious S. Badran (aka Almighty Green) asserts that certain creative works and elements of her brand were previously misused or taken without authorization. Those assertions form part of the public record associated with HustleGang and Hustle Gang' as in known as the same www.hustlegang.com. will be addressed in the definitive License Agreement by way of representations, warranties, liability allocation, and an indemnity schedule.

Licensees shall conduct their own independent legal and commercial due diligence (including searches for encumbrances, registrations, and third-party claims) prior to closing. The definitive agreement will set forth remedies and dispute resolution procedures for any unresolved ownership claims at closing and post-closing.

Key Commercial Terms & Legal Summary

Payment: Payment schedule, escrow instructions, and forms acceptable for closing will be set in the definitive License Agreement.
Transfer of Rights: The effective transfer (if any) will be conditioned on delivery of assigned IP assets, domain control, artwork files, social media account transfers (if applicable), and execution of transfer instruments.
Warranties & Indemnities: Standard seller warranties regarding ownership to the extent assignable, and buyer indemnities for post-closing exploitation. Any historical claims of IP theft will be specifically addressed in exhibit attachments.
Governing Law: State of Wisconsin (venue: Milwaukee County), unless otherwise agreed.
Remedies: Injunctive relief, liquidated damages, and other remedies agreed in the definitive documents.
