1. Introduction

Welcome to HustleGang (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the HustleGang website, mobile applications, and services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Definitions

Throughout these Terms, we use certain defined terms:

• “Content” refers to any audio, video, text, images, or other materials you choose to display on the Platform.
• “User” refers to any individual who accesses or uses the Platform, whether as an artist, listener, or in any other capacity.
• “Artist” refers to any User who uploads, shares, or distributes Content on the Platform.

3. Account Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.

4. User Content

You retain all rights in, and are solely responsible for, the Content you post to the Platform. By uploading Content to the Platform, you grant us a non-exclusive, royalty-free, worldwide, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your Content in connection with the Platform and our business, including without limitation for promoting and redistributing part or all of the Platform.

You represent and warrant that:

• You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all Content you submit to the Platform.
• Your Content does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person or entity.
• Your Content does not contain material that is false, intentionally misleading, or defamatory.
• Your Content does not contain material that is unlawful, obscene, defamatory, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense.

5. Licensing and Monetization

The Platform allows Artists to set their own licensing terms and monetization strategies for their Content. As an Artist, you have the right to determine how your Content is licensed, distributed, and monetized. We provide tools to help you manage these aspects, but you are responsible for setting appropriate terms and ensuring compliance with applicable laws.

As a User accessing Content on the Platform, you agree to respect the licensing terms set by Artists. Unauthorized use of Content outside the scope of the applicable license is prohibited.

6. Distribution

The Platform may offer distribution services to help Artists make their Content available on third-party platforms. By using these services, you authorize us to distribute your Content to the selected platforms on your behalf, in accordance with the terms you specify. You acknowledge that third-party platforms have their own terms of service and policies, and we are not responsible for their actions or policies.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Platform for any illegal purpose or in violation of any local, state, national, or international law.
• Harassing, threatening, or intimidating other Users.
• Impersonating another person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Interfering with or disrupting the Platform or servers or networks connected to the Platform.
• Attempting to gain unauthorized access to parts of the Platform, other accounts, computer systems, or networks connected to the Platform.
• Using any automated system, including “robots,” “spiders,” or “offline readers,” to access the Platform.
• Introducing viruses, worms, or other malicious code to the Platform.
• Engaging in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Platform.

8. Intellectual Property

The Platform and its original content, features, and functionality are owned by HustleGang and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on our Platform, or distribute such material in any way, without our prior written consent.

9. DMCA Compliance

We respect the intellectual property rights of others and expect our Users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe that your Content has been copied in a way that constitutes copyright infringement, please provide us with the following information:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material.
• Your contact information, including your address, telephone number, and an email address.
• A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

10. Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion.

11. Limitation of Liability

In no event shall HustleGang, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform.
• Any conduct or content of any third party on the Platform.
• Any content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.

12. Disclaimer

Your use of the Platform is at your sole risk. The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. The Platform is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms.
